Challenge
In May 2025, a global gaming company acquired another company’s gaming business, triggering a complex, large-scale integration across systems, operations, and contractual assets. A critical priority was to review and align the acquired entity’s end-to-end contract portfolio to maintain operational continuity, support compliance, and establish a consistent post-acquisition governance framework. Key challenges included:
- Contracts used inconsistent structures and drafting styles, which fragmented interpretation and slowed review
- Critical clauses, including total agreement value and limitation of liability, were dispersed across multiple sections, increasing complexity and review time
- Single files combined multiple underlying documents, creating dense and difficult-to-navigate records
- Drafts, unsigned versions, and partial contract families increased validation effort
- Parent-child relationships were not properly defined, limiting traceability across agreements and amendments
- Legacy metadata was inaccurate and required cleanup and reliable mapping for migration
Solution
Elevate delivered a structured contracts review and migration programme to centralise data, improve accessibility, and establish a scalable post-acquisition contracts framework:
- Centralised all acquired contracts into a single system, creating a unified source of truth and eliminating reliance on shared drives and legacy tools
- Implemented a consistent framework with consistent categorisation and key metadata tagging, including renewal dates, governing law, and obligations, making contracts searchable and scalable
- Adopted Ironclad as the Contracts Lifecycle Management platform for newly executed contracts, ensuring accurate tracking, visibility, and compliance
- Combined AI-enabled extraction with lawyer-led review to validate data, reconcile parent–child relationships, and ensure consistent, reliable contract data across document families
- Applied a multi-layer quality control framework with SME calibration, defined accuracy metrics, structured feedback loops, and automated AI consistency checks, achieving approximately 99% accuracy
